Created comprehensive training materials for directors and initiated board committees with appropriate charters, schedules of topics and meeting minutes and other initiatives. Result: More efficient meetings and reduced risk; Company awarded a better than 85% corporate governance rating from a national investor group compared to all public companies, and over 95% compared to companies in the same industry.

Identified inefficient models for major wireless telecommunications real estate development transactions for nationwide carrier resulting in excess legal spend. Created templates for major call center, switch site, co-location and warehouse transactions. Result: Accelerated and simplified process of completing strategic build-out requirements while reducing cost and risk to the company.

Identified excessive legal spend for corporate and securities work due to historical use of national law firm for work a regional firm could handle as well at lower cost. Solicited proposals from national and regional firms. Result: Work handled with same level of quality, better timeliness and customer service and at an annual savings of more than $1 million.

Recognized need to implement comprehensive senior management disclosure and compliance review system to meet requirements of new regulatory regime. Collaborated with entire senior management team to implement and chair senior management committee to review major initiatives. Result: Created senior management buy-in and decreased non-compliance risk for board of directors, senior management and company.

Identified need for expedited, comprehensive risk analysis of international M&A target. Spearheaded detailed analysis of contractual and other legal risks under laws of both countries. Result: All material risks accurately identified and analyzed within four weeks, and transaction closed successfully.

Identified lack of adequate training of supervisors on appropriate workplace conduct. Created and implemented a comprehensive in-person training program throughout organization on proper conduct. Result: Reduced claims events by approximately 50%, and resulting trust increased early detection and resolution of potential problems exponentially.
